By accessing or using TaxZen, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.

2. Description of Service

TaxZen provides cloud-based tax preparation software for tax professionals, including:

• AI-powered document extraction and analysis
• Client portal and communication tools
• Practice management features

3. User Accounts

Eligibility: You must be a licensed tax professional or authorized representative to use TaxZen for commercial purposes.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

Accurate Information: You agree to provide accurate, current information and update it as necessary.

4. Subscription and Billing

• Subscription Plans: Available in monthly or yearly billing cycles
• Payment: All payments are processed securely through Stripe
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• AI Usage Fees: $20 per AI-processed return, billed monthly in arrears
• Refunds: Prorated refunds available for annual plans canceled within 30 days of purchase
• Price Changes: We reserve the right to modify pricing with 30 days' notice

5. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Access continues until the end of your billing period
• No refunds for partial months
• Data export available for 90 days after cancellation

6. Acceptable Use

You agree NOT to:

• Use the service for illegal activities or to violate tax laws
• Share your account with unauthorized users
• Attempt to reverse engineer or compromise platform security
• Upload malicious code, viruses, or harmful content
• Resell or redistribute TaxZen services without authorization

7. Professional Responsibility

You retain full professional responsibility for all tax returns prepared using TaxZen. Our software is a tool to assist your work, not a substitute for professional judgment. You must review all AI-generated content and calculations before filing.

8. Intellectual Property

• Our IP: TaxZen owns all rights to the platform, software, and documentation
• Your Data: You retain ownership of tax returns and client data you create
• License: We grant you a limited, non-exclusive license to use the software

9. Data and Privacy

Your use of TaxZen is subject to our Privacy Policy. We implement bank-level security but cannot guarantee absolute security. You are responsible for backing up critical data.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TaxZen is provided "AS IS" without warranties of any kind
• We are not liable for errors, omissions, or inaccuracies in tax calculations
• Our total liability is limited to fees paid in the 12 months prior to the claim
• We are not liable for indirect, incidental, or consequential damages

11. Indemnification

You agree to indemnify and hold harmless TaxZen and Digital Doctor Solutions from claims arising from your use of the service, violation of these terms, or infringement of any rights.

12. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

13. Termination

We may suspend or terminate your account for violations of these terms, non-payment, or fraudulent activity. Upon termination, your license to use TaxZen immediately ends.

14. Dispute Resolution

Governing Law: These terms are governed by the laws of [Your State], without regard to conflict of law principles.

Arbitration: Disputes will be resolved through binding arbitration, except you may bring claims in small claims court.

15. Changes to Terms
